DON’T CHASE YOUR MARKET, MAKE YOUR MARKET.
I want to build with you. Easy.
For Shayne Jasper · From Jona Grey · November 2026
Here's the simple version: what you pay me covers my time, a small royalty covers my designs, and ownership covers everything extra I bring. If it ever stops working, you're never stuck with me.
Paid separately, at a partner rate
Only on what sells
Ownership that grows only when the business grows
01What's covered
Suplay
Covered from day one.
Morgan Headgear
Covered from day one.
Anything new
Anything new we start together gets added with a quick email: "This one's covered, capped at X%."
| Example | What happens |
|---|---|
| We launch SuperCamp event merch | You email: "Covered, capped at 10%." Done. |
| A small one-off collab with another brand | You email: "Covered, capped at 5%." Done. |
| Something you start without me involved | Not covered. |
02My time
My retainer pays for my time: showing up consistently, design, presentations, mockups and production art. That lives in its own simple services agreement, with no profit share in it. It's a partner rate, below what I'd normally charge.
Example
Monthly design and production art for new headgear runs: covered by the retainer.
Example
Mockups and a presentation for a retailer meeting: covered by the retainer.
03Ownership
I start at 5% of your stake at signing. For Morgan, that grows to a cap of 15% as Suplay's sales grow. Everything is measured on the last 12 months of Shopify sales, so one big season can't trigger a jump.
Baseline: Suplay's last 12 months of sales on the day we sign. These examples use roughly $200,000 a year.
- Year one, sales hit $300,000. My share moves from 5% to 7.5%.
- Sales hit $400,000. My share moves to 10%.
- Sales stay flat at $200,000. My share stays at 5%. I only grow when the business grows.
Other ventures have their own cap, agreed at the start. My share can't be diluted without my written sign-off.
04Design royalty
of net sales on redesigns of products you already sell, like the headgear.
of net sales on new product lines I build from scratch, like apparel.
| Product | Royalty per unit | Sold a month | A year |
|---|---|---|---|
| Redesigned headgear, $75 | about $1.88 | 20 | about $450 |
| New tee, $30 | $1.50 | 200 | $3,600 |
| New product, $250 | $12.50 | 10 | $1,500 |
Net sales means after discounts and returns. It covers Shopify, wholesale and event sales. Paid quarterly from Shopify reports we can both see.
Why this is fair: a licensed artist would charge more and own nothing. I'm charging less because I'm invested in the brand. You only pay me out of sales my designs actually bring in.
05How long the royalty lasts
As long as my design sells, including close variations like new colorways.
Keeps going
A tee I designed comes out in three new colorways. Still covered.
Ends on its own
You retire a headgear design. The royalty on it simply stops.
Buy it out
Any design, at 3x its last 12 months of royalties. If a design paid me $1,000 last year, buy it out for $3,000 and own it clean.
06If it stops working
Either of us can walk away. You buy back my vested share at 1x Suplay's last 12 months of sales, times my share, payable over 12 months. Unvested equity just goes away. I keep my royalties on what I designed.
| Sales | My share | Buyout | Over 12 months |
|---|---|---|---|
| $200,000 | 5% | $10,000 | about $833 a month |
| $200,000 | 15% | $30,000 | $2,500 a month |
| $500,000 | 10% | $50,000 | about $4,167 a month |
07The short version

A small royalty, only on what sells.
Ownership that grows only when the business grows.
